These Terms and Conditions ("Terms") govern all services provided by Wide Grid Software and Technologies (SMC-Private Limited) ("Wide Grid", "we", "us", or "our"). By engaging our services, you agree to these Terms.
1. Project Scope
Each engagement is defined by a written proposal or statement of work. Any work outside that scope will be handled as a change request with agreed cost and timeline impact.
2. Payments
Invoicing follows the milestone schedule in the proposal. Standard terms are 30% at kickoff, 40% mid-project and 30% on delivery, unless otherwise agreed. Late payments may incur a service fee and pause active work.
3. Intellectual Property
Upon receipt of full payment, ownership of the final deliverables transfers to the client — except for third-party libraries, frameworks, and our own pre-existing tools, which remain the property of their respective owners.
4. Client Responsibilities
- Provide timely feedback, content and approvals
- Provide access to accounts, servers and third-party tools required for the project
- Ensure supplied materials do not infringe any third-party rights
5. Confidentiality
Both parties agree to keep all non-public information exchanged during the engagement strictly confidential. Mutual NDAs are available on request.
6. Delays
Timelines assume prompt client feedback (within 3 business days). Delays caused by missing content, approvals or access may shift project timelines and are not the responsibility of Wide Grid.
7. Cancellation
Either party may cancel a project in writing. The client will be invoiced for all work completed up to the cancellation date. Refunds (if any) follow our Refund Policy.
8. Warranty
We warrant that deliverables will materially conform to the agreed specification for the duration of the post-launch support window. Defects reported within this window are corrected free of charge.
9. Limitation of Liability
To the maximum extent permitted by law, Wide Grid's total liability arising from an engagement shall not exceed the total fees paid by the client for that engagement. We are not liable for indirect, incidental, or consequential damages.
10. Governing Law
These Terms are governed by the laws of the Islamic Republic of Pakistan. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Lahore, Pakistan.
